Master Services Agreement

Schedule 1 — SaaS

Effective: 12/10/2026 · Last updated: 12/10/2026

In plain English

This schedule covers our SaaS products. You get a licence to use the software for as long as you subscribe, but the software stays ours. You pay monthly in advance and can cancel whenever you like. We back your data up so that we never lose more than 2 hours of it, and aim to have the service back within 8 hours of a serious failure. When you leave, you can take a full export of your data, and we delete it within 90 days. Everything else, such as payment, liability and data protection, is in the Master Services Agreement.

This summary is provided for convenience only. The full terms below take precedence in all cases.

1. About This Schedule

1.1 This Schedule forms part of the Master Services Agreement between you and Geeky Code Ltd, and applies when you subscribe to one of our SaaS products (the "Software"). Words defined in the General Terms have the same meaning here.

1.2 This Schedule replaces our previous SaaS Terms, which were also called our Terms and Conditions and referred to as the Master Service Agreement (MSA).

2. Subscriptions

2.1 Subscription-based access – The Software is provided on a subscription basis, with the features and prices described on our website, in the Software itself or in the Order.

2.2 Accounts – To use the Software, you or your users may need to create an account and give us accurate information.

2.3 Changes to the Software – We improve the Software continuously, and may change, add or remove features. We will tell you in advance about any change that materially reduces what your subscription includes.

3. Licence

3.1 Licence – We grant you a non-exclusive, non-transferable licence for you and your users to use the Software for your own business for the duration of your subscription.

3.2 Ownership – The Software and all intellectual property in it remain ours. You do not acquire any ownership of the Software.

3.3 Restrictions – In addition to section 3 of the General Terms, you must not, and must make sure your users do not:

  • copy, modify, reverse-engineer or decompile any part of the Software, except as the law expressly allows;
  • resell, sublicense or provide the Software to anyone outside your organisation; or
  • use the Software to build a competing product.

3.4 Suspension – We may suspend any account that breaches this Schedule or section 3 of the General Terms. Where it is reasonable to do so, we will warn you first and give you a chance to put things right.

4. Fees

4.1 Subscription fees are charged monthly in advance, at the start of each billing period, unless the Order says otherwise.

5. Service Levels and Support

5.1 Availability – We aim for high availability, but do not guarantee that the Software will be uninterrupted.

5.2 Support – Support is available during business hours, Monday to Friday, 9am to 5pm UK time, excluding public holidays. Issues reported outside those hours are dealt with on the next working day.

5.3 Recovery objectives – We back up the Software's data so that, after a serious failure, no more than 2 hours of data is lost (our recovery point objective), and aim to restore the Software within 8 hours (our recovery time objective). These are the backups referred to in section 10.3 of the General Terms.

6. Data Protection

6.1 Processing – Our Data Processing Agreement applies to the personal data you and your users put into the Software. We process it to provide, support and secure the Software.

6.2 Where data is held – Your Data is stored in Hetzner data centres in Germany and/or AWS infrastructure in EU or UK regions, as set out in the Data Processing Agreement.

7. Limitation of Liability

7.1 This section changes section 10.4 of the General Terms for the Software. Subject to section 10.1 of the General Terms, our total liability for the Software is limited to the fees paid or payable by you for it in the 3 months before the event giving rise to the claim.

7.2 We are not liable for problems caused by how you or your users configure or use the Software, or by a breach of the security of your own systems or sign-in details.

8. Ending Your Subscription

8.1 By you – You may cancel your subscription at any time. It ends at the end of the current billing period.

8.2 By us – We may end your subscription, or withdraw the Software altogether, by giving you at least 60 days' notice in writing.

8.3 Your data – Before your subscription ends, and for 30 days afterwards, you may ask us for a full export of Your Data in a standard format. Unless you ask us to delete it sooner, we delete Your Data within 90 days of your subscription ending.
