These Terms and Conditions ("Agreement"), also referred to as the Master Service Agreement (MSA), govern the use of SaaS products provided by Geeky Code Ltd ("Company", "we", "us", or "our"). By accessing or using any of our services, the customer ("you", "your", "Customer") agrees to be bound by this Agreement.
If you do not agree with these terms, do not use the services.
1. Services & Scope
1.1 Services Provided – This Agreement applies to all SaaS products offered by the Company, including but not limited to any service provided by Us.
1.2 Subscription-Based Access – Our SaaS products are provided on a subscription basis, with features and pricing detailed on our website or order forms.
1.3 Changes & Updates – We may modify, upgrade, or discontinue services at our discretion, provided that we notify customers of major changes in advance.
2. Account & Usage Terms
2.1 Account Registration – To use certain services, you may be required to create an account and provide accurate information.
2.2 Account Security – You are responsible for maintaining the security of your account credentials and notifying us of any unauthorized use.
2.3 Acceptable Use – You agree not to:
- * Use our services for any illegal, harmful, or fraudulent activities.
- * Attempt to disrupt, overload, or interfere with our systems.
- * Reverse-engineer, modify, or copy any part of our software.
2.4 Suspension or Termination – We reserve the right to suspend or terminate accounts that violate this Agreement.
3. Payment & Billing
3.1 Subscription Fees – Fees are charged on a monthly basis at the start of each billing period.
3.2 Late Payments – While we do not impose penalties for late payments, continued non-payment may result in service suspension.
3.3 Refunds – All payments are non-refundable, unless required by law.
4. Service Levels & Support
4.1 Service Availability – We strive for high availability but do not guarantee uninterrupted service.
4.2 Support Response Times –
Business Hours Support: Mon-Fri, 9 AM – 5 PM
Out-of-Hours Support: Issues will be addressed next business day.
4.3 Recovery Objectives –
RPO (Recovery Point Objective): 2 hours
RTO (Recovery Time Objective): 8 hours
5. Data Protection & Privacy
5.1 Data Storage – Customer data may be stored in Hetzner data centers (Germany) or AWS infrastructure, as detailed in our Data Processing Agreement (DPA).
5.2 GDPR & UK GDPR Compliance – We comply with relevant data protection laws, including UK GDPR and EU GDPR.
5.3 Customer Responsibilities – You must ensure that any data you provide complies with applicable laws.
6. Intellectual Property
6.1 Ownership –
The software and all related intellectual property remain our exclusive property.
Customers do not acquire any ownership rights in the software.
6.2 License – You are granted a non-exclusive, non-transferable license to use our services for the duration of your subscription.
6.3 Restrictions – You may not resell, sublicense, or modify our software without permission.
7. Limitation of Liability
7.1 No Warranties – Services are provided "as is" without warranties of any kind.
7.2 Liability Cap – Our total liability for any claim shall not exceed the total amount paid by you in the last 3 months.
7.3 Exclusions – We are not liable for:
Indirect or consequential damages.
Data loss beyond our RPO/RTO guarantees.
Customer misconfigurations or security failures.
8. Termination & Data Retention
8.1 Termination by Customer – You may cancel your subscription at any time.
8.2 Termination by Company – We may terminate this Agreement if you violate these terms or for business reasons with reasonable notice.
8.3 Data Retention & Deletion –
Upon termination, you may request a final export of your data.
Unless otherwise requested, data will be deleted within 90 days.
9. Governing Law & Dispute Resolution
9.1 Governing Law – This Agreement is governed by the laws of England and Wales.
9.2 Dispute Resolution – Disputes shall be resolved through good-faith negotiations. If unresolved, they will be settled in the United Kingdom courts.
10. Amendments & Notices
10.1 Amendments – We may update this Agreement from time to time. Continued use of our services implies acceptance of any modifications.
10.2 Notices – Any notices will be posted on our website or sent to registered users via email.
11. Miscellaneous
11.1 Severability – If any part of this Agreement is deemed invalid, the remainder remains in effect.
11.2 Force Majeure – We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, internet outages).
12. Acceptance of Terms
By using any of our SaaS products, you acknowledge and agree to these Terms and Conditions. If you do not agree, you must discontinue use immediately.
